1. Introduction

Welcome to Huxedo! These Terms of Service ("Terms") govern your access to and use of Huxedo, Inc.'s ("Huxedo," "we," "us," or "our") website, mobile applications, and related services (collectively, the "Services").

In these Terms, "you" and "your" refer to the individual or entity that accesses or uses the Services.

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Services Provided

Huxedo offers a platform that connects homeowners and property occupants ("Users") with independent home maintenance professionals ("Service Providers") for various home maintenance and management services.

While we facilitate these connections and may assist in scheduling and payment processing, Huxedo does not perform these services directly and does not employ the Service Providers. Our role is limited to providing the technology platform for Users and Service Providers to engage with each other.

Changes to the Services: We may modify, suspend, or discontinue any feature of the Services at any time with or without notice.

3. Platform Role and Contractor Independence

Huxedo is a technology platform that facilitates communication, coordination, and scheduling between homeowners and independent service professionals. Huxedo does not perform, supervise, or control any home maintenance or construction work, and is not a licensed general contractor or home improvement contractor in any jurisdiction.

 

Service Providers are independent businesses that operate under their own licenses, insurance, and professional obligations. They determine their own pricing, schedules, tools, and methods of work. Huxedo does not independently verify the licensing, insurance, permits, or background of any Service Provider and makes no representation that any such credentials are current, adequate, or compliant; you are solely responsible for confirming a Service Provider’s qualifications.

 

Huxedo may, at its discretion, use aggregated homeowner requests to create service “bundles” (for example, multiple roofing projects in the same area) to make jobs more efficient and attractive to qualified Service Providers. When doing so, Huxedo acts solely as a marketplace facilitator and does not assume any responsibility for the performance or outcome of the work.

 

Huxedo may charge Service Providers or Users a platform or service fee for the use of the marketplace. Such fees are for access to and use of the platform, not for contracting, supervising, or guaranteeing any services. Huxedo does not guarantee any minimum job volume, revenue, or geographic availability of work to any Service Provider.

4. User Responsibilities

By using our Services, you agree to:

• Provide accurate information: Ensure that all information you provide is current, complete, and accurate.

• Maintain confidentiality: Keep your account credentials secure and notify us immediately of any unauthorized use.

• Comply with laws: Use the Services in accordance with all applicable laws and regulations.

• Respect others: Engage with Service Providers and other Users in a respectful and lawful manner.

5. Booking and Payment Terms

The following terms explain how service bookings, payments, and cancellations are handled through the Huxedo platform.

Service Requests: When you request a service through our platform, Huxedo connects you with an independent Service Provider. The completion, quality, and timing of the service are the sole responsibility of the Service Provider.

​

Payments: Payments for services are processed through third-party payment processors on behalf of Service Providers. By providing your payment information, you authorize Huxedo or its payment partners to transmit payment instructions to the applicable Service Provider for the total amount of the service.

Cancellations and Refunds: Cancellation and refund policies for individual services are set by each Service Provider and will be communicated to you at the time of booking. Any refund for a canceled or disputed service must be requested directly from the Service Provider in accordance with their policy. Huxedo is not a party to the service contract between you and any Service Provider and does not issue or process refunds for amounts paid to them. Huxedo’s own platform or membership fees (such as monthly or annual subscription fees) are non-refundable once a billing period begins, except where required by law.

6. Maintenance and Property Records

All maintenance and service records created, uploaded, or compiled through the Services (including property-related data aggregated from public sources, Service Providers, and Users) form part of Huxedo’s proprietary property history database (the “Home History Database”).

Huxedo owns the compilation and structure of this database, including all derived data and anonymized historical records. Personal identifiers are removed or anonymized before records are made accessible to future verified owners or occupants.

​

You retain any intellectual property rights you may have in content you upload or provide (such as photos, invoices, or notes). However, by submitting or authorizing the submission of such property-related data, you grant Huxedo a non-exclusive, worldwide, royalty-free, perpetual license to store, display, reproduce, and use that data as part of maintaining accurate property service histories and improving the Services.

7. Ownership Verification and Access to Property Data

​Certain features of the Services allow users to claim ownership of a property. Before granting access to property-level data, Huxedo may verify ownership using public records, name matching, and multifactor authentication (such as a one-time code).

 

If a property is claimed in error, Huxedo reserves the right to suspend or revoke access until ownership is verified. Unauthorized claiming of a property or misuse of another individual’s public-record information may result in account suspension and potential referral to authorities. Huxedo is not liable for temporary or erroneous access to property data prior to completion of ownership verification, provided we promptly remediate access upon notice.

8. Public Record Data

The Services display factual property information obtained from public governmental sources or licensed data partners. These data may include building permits, sales history, tax assessments, or recorded mortgage details.

Huxedo displays only property-level data and does not include personal identifiers such as homeowner names or mailing addresses in public views. While we take reasonable steps to ensure accuracy, we make no guarantee that public-record data are error-free or up to date.

9. Membership and Fees

Certain features of the Services may require a paid membership. By subscribing, you authorize Huxedo to charge your designated payment method according to the posted pricing and renewal terms.

Membership fees are non-refundable except as required by law. You may cancel your membership at any time through your account settings, and the cancellation will take effect at the end of your current billing cycle.

Auto-Renewal: Memberships renew automatically until canceled. You can cancel at any time in account settings; cancellation takes effect at the end of the current billing cycle. Any required state-specific notices are deemed incorporated herein. Where required by law, Huxedo will provide clear auto-renewal disclosures, renewal reminders, and easy cancellation methods.

10. Intellectual Property Rights

All content and materials available through our Services, including but not limited to text, graphics, logos, and software, are the property of Huxedo or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.

Third-Party Reviews and Content: The Services may display information, reviews, or ratings obtained from third-party sources such as Google, other search engines, or other publicly available websites. Such content is provided for convenience and reference only. Huxedo does not verify, endorse, or guarantee the accuracy of any third-party information or reviews, nor does the inclusion of third-party logos or content imply affiliation, sponsorship, or approval. All trademarks and logos remain the property of their respective owners.

 

Publicly available third-party information displayed on the Services is shown “as is” for user convenience. Inclusion does not imply endorsement or any exclusive right to such information.

User Reviews: Users are responsible for the content of any reviews they submit. By submitting a review, you grant Huxedo a non-exclusive, worldwide, royalty-free license to transmit, format, and distribute the review to third-party platforms at your direction. Huxedo does not pre-screen or actively verify review content and is not responsible for its accuracy. However, Huxedo reserves the right but not the obligation to remove or disable access to any review that it reasonably believes violates law, infringes intellectual property rights, or breaches these Terms. Reviews must not contain defamatory, fraudulent, or unlawful material.

Brand and Media: Logos, images, and descriptions shown from public sources are used for identification and reference. If you own rights in content displayed on the Services and want it removed or corrected, contact help@huxedo.com and we will review and respond promptly.

Trademarks: Third-party names and marks are used nominatively to identify their businesses and services. Use does not imply sponsorship or affiliation.

 

Copyright Complaints: If you believe content on the Services infringes your copyright, send a notice to help@huxedo.com with: (a) the work claimed infringed, (b) the allegedly infringing material and location, (c) your contact details, (d) a statement of good faith belief, and (e) a statement under penalty of perjury that your notice is accurate and you are authorized to act.

11. Disclaimers and Limitation of Liability

• No Warranty: Huxedo provides the Services on an “as is” and “as available” basis without any warranties of any kind, either express or implied. We do not warrant the quality, safety, or legality of services performed by independent Service Providers, nor do we guarantee that any Service Provider will meet a User’s expectations.

• Predictive Maintenance Disclaimer: Huxedo’s maintenance reminders, insights, and recommendations are provided for informational purposes only. They are intended to assist homeowners in planning and tracking maintenance but do not guarantee the prevention of damage, system failure, or financial loss. Users remain solely responsible for monitoring, maintaining, and repairing their property, and for engaging qualified professionals as needed.

• DIY Content and AI Guidance Disclaimer: Huxedo provides AI-generated maintenance insights, DIY videos, and instructional content solely for informational and educational purposes. Such materials do not constitute professional advice, and users rely on them at their own risk. Tasks with elevated risk ratings (for example, electrical, structural, or gas-related work) should only be performed by licensed professionals. Huxedo disclaims all liability for injuries, damage, or losses arising from the use or misuse of any DIY or AI-generated content provided through the Services.

• DIY Assumption of Risk: Users performing any repairs or maintenance do so at their own risk and are solely responsible for safe execution and code compliance.

• No Professional Advice: Information provided through the Services, including maintenance insights, DIY content, and cost estimates, is for informational purposes only and does not constitute professional, legal, or technical advice.

• Pricing and Estimate Disclaimer: Any cost ranges, service estimates, or pricing data shown within the Services are provided for general informational and budgeting purposes only. Actual prices for services may vary based on the scope of work, location, materials, and individual Service Provider rates. Huxedo does not set or control Service Provider pricing and does not guarantee that any quoted or displayed estimate will match the final price of a service. Users are encouraged to review and approve detailed quotes from Service Providers before authorizing any work.

• Provider Insurance & Compliance: Service Providers are solely responsible for obtaining and maintaining all required licenses, permits, and insurance for their work and for complying with applicable laws, codes, and manufacturer specifications. Huxedo is not an insurer and does not provide insurance for any services.

• Independent Providers: All Service Providers are independent businesses and not employees, agents, or representatives of Huxedo. Huxedo is not responsible for and does not assume any liability for the acts, omissions, or performance of any Service Provider.

• Service Availability: The Services may be interrupted, including for maintenance, upgrades, or network failures. Huxedo does not guarantee continuous, uninterrupted access and is not liable for any downtime or data loss.

• Limitation of Liability: To the fullest extent permitted by law, Huxedo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. In no event shall Huxedo’s total aggregate liability for any claims arising out of or related to the Services exceed the total amount of fees paid by you directly to Huxedo for use of the platform during the twelve (12) months preceding the event giving rise to the claim. For clarity, this limitation applies regardless of the value of any home improvement or service project arranged through the platform. Huxedo is not responsible for payments made to, or losses arising from, any independent Service Provider. You acknowledge and agree that Huxedo does not control or guarantee the performance of any Service Provider and is not responsible for damages, defects, or costs associated with their work.

12. AI Content Governance
Some features of the Services use artificial intelligence or automated tools to generate responses, estimates, or instructional content. Huxedo does not guarantee the accuracy, completeness, or safety of any AI-generated output and disclaims all liability for errors, omissions, or outcomes arising from reliance on such content. Users remain responsible for verifying all information and for ensuring compliance with applicable codes, regulations, and safety standards before taking action.

13. Indemnification

You agree to indemnify, defend, and hold harmless Huxedo, its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in any way connected with:

• your access to or use of the Services,

• your violation of these Terms or applicable law, or

• any dispute or transaction between you and a Service Provider.

This obligation survives the termination of your account or use of the Services.

14. Dispute Resolution and Arbitration

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Johnson County, Kansas, in accordance with the rules of the American Arbitration Association and the Federal Arbitration Act (FAA), which governs the interpretation and enforcement of this arbitration agreement.

 

You agree to waive any right to a jury trial. Any arbitration under these Terms shall be conducted on an individual basis only. Class arbitrations, class actions, and collective proceedings are not permitted. You and Huxedo each waive the right to participate in any purported class or representative action involving the Services.

Notwithstanding the foregoing, either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect its intellectual property or prevent unauthorized use, scraping, or abuse of the Services.

15. Termination

Huxedo reserves the right to suspend or terminate your access to the Services at its sole discretion, without notice, for conduct that Huxedo believes violates these Terms or is harmful to other Users, Service Providers, or third parties, or for any other reason.​

16. Changes to Terms

We may update these Terms from time to time. We will notify you of any significant changes by posting the new Terms on our website and updating the effective date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.​

17. Miscellaneous

• Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law principles.

• Entire Agreement: These Terms constitute the entire agreement between you and Huxedo regarding the use of the Services.

• Assignment: You may not assign these Terms without our consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

• No Waiver: Failure by Huxedo to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

• Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

• Survival: Sections 6 (Maintenance and Property Records), 10 (Intellectual Property Rights), 11 (Disclaimers and Limitation of Liability), 12 (AI Content Governance), 13 (Indemnification), 14 (Dispute Resolution and Arbitration), and 17 (Miscellaneous) survive termination.

• Limitation Period: Any claim arising out of or related to the Services must be filed within one (1) year after the cause of action accrues, or be permanently barred.

• Force Majeure: Huxedo is not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, power or internet failures, or governmental actions.

• Export Compliance: You agree to comply with U.S. and international export laws and sanctions and not to use the Services in prohibited countries or for prohibited end uses.

• Automated Access and Prohibited Uses: You may not access the Services by automated means (including scrapers, bots, spiders, or crawlers) without our prior written consent, except for standard indexing by publicly available search engines. You may not copy, harvest, or use any data, content, or metadata from the Services to build, train, or improve any AI/ML models or to create a competing product or service. You may not reverse engineer, decompile, perform database extraction or bulk downloads, or attempt to derive the source code of the Services.

• No Third-Party Beneficiaries: These Terms are for the benefit of you and Huxedo only. No other person or entity shall have any rights to enforce any of their provisions.

• No Affiliation: Huxedo operates as an independent platform and is not affiliated with, endorsed by, or connected to any other marketplace, data provider, or service company. Any references or links to third parties are provided solely for informational purposes.
